Baden Resources to Acquire NorthStar Gaming in All-Stock Deal

Baden Resources and NorthStar Gaming have reached an accord that will bring NorthStar into the Baden fold. The strategy involves Baden exchanging its own equity for all of NorthStar’s circulating shares, although the specific procedures (such as a consolidation with a separate entity) are still being determined.

Prior to finalization, Baden must consolidate its shares (the conversion ratio remains undecided), and NorthStar will be preparing its documentation for the share swap. Both firms are working under a strict timeline to finalize all the legal prerequisites by June 27th, 2022, and naturally, they require regulatory approval before the transaction is concluded.

Furthermore, Baden intends to delist from the Canadian Securities Exchange and transition to the TSX Venture Exchange prior to the acquisition. They will need provisional acceptance from the TSX Venture to proceed.

It’s crucial to note that this is merely a preliminary agreement. Nothing is definite yet, and there’s always a possibility the arrangement could unravel.
